Terms of Service

1. Acceptance of Terms
By accessing and using ConvergeQA (convergeqa.net), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the service.
ConvergeQA reserves the right to modify these terms at any time. We will notify registered users of material changes via email at least 14 days before the revised terms take effect. Your continued use of the service following the effective date of any changes constitutes your acceptance of the updated terms. If you do not agree to the revised terms, you must discontinue use before the effective date.
2. Service Description
ConvergeQA is a multi-LLM comparison and review platform that enables users to submit content to multiple large language models simultaneously for comparison, iterative refinement, and critique.
Three Review Modes:
- Compare: Send your content to multiple AI models in parallel and review responses side-by-side with optional automated synthesis.
- Iterate: Compare results, receive synthesized recommendations, and refine through multiple rounds of iteration until convergence.
- Critique: Submit non-editable deliverables (PDF, PPTX, etc.) for structured audit reports with findings and recommendations.
Third-Party LLM Providers (Sub-processors)
ConvergeQA transmits user-submitted content to the following third-party LLM providers for processing:
- Anthropic (Claude)
- OpenAI (GPT)
- Google (Gemini)
- xAI (Grok)
- Perplexity
This list may be updated from time to time. We will notify paid-tier subscribers via email at least 14 days before adding a new LLM provider. The current list is always available at convergeqa.net/providers.
All output generated by ConvergeQA is AI-generated and NOT reviewed by human operators. You are solely responsible for reviewing, verifying, and validating all output before use.
3. Account Registration & Responsibility
To use ConvergeQA, you must create an account. You agree to:
- Use ConvergeQA only if you can legally agree to these Terms or have appropriate parent, guardian, school, or organizational authorization. ConvergeQA is not intended for children under 13.
- Provide accurate and complete information during registration
- Maintain the confidentiality of your account credentials
- Accept responsibility for all activity under your account
- Maintain only one account per person or organization (unless authorized otherwise)
- Notify us immediately of any unauthorized use of your account

Student Tier Mode Restrictions: The Student tier provides access to Compare and Critique modes only. Iterate mode and the Auto-Synthesize option in Compare are not available on Student plans. The Student tier is designed for academic use and is available to any user who selects it; no .edu verification is required. Upgrade to Basic or higher to access all three review modes.
Enterprise Pricing: Enterprise pricing is custom and includes multi-seat access, shared billing, and custom review allotments. Contact [email protected] for a quote.
Overage & Billing Terms
- Overage Charges: $0.45 per review beyond your monthly allotment (Student tier and above). Monthly overage charges are capped at $50 per billing cycle. Once the $50 overage cap is reached, further reviews will be blocked until the next billing cycle begins or you upgrade your tier. Free tier does not incur overages; once your 5 lifetime reviews are exhausted, you must upgrade to continue.
- Review Credit Packs: Paid-tier subscribers may optionally pre-purchase review credit packs through their billing settings. Credits purchased through credit packs do not expire and are consumed before overage charges apply. If you exhaust both your monthly allotment and any remaining credit pack balance, standard overage charges ($0.45/review, $50/cycle cap) apply.
- Auto Top-Up (Credit Packs): Disabled by default. If enabled in your billing settings, you may configure a credit balance threshold and a replenishment amount. When your credit pack balance falls below your configured threshold, we will automatically purchase additional credits by charging your saved payment method for the replenishment amount you specified. Auto top-up purchases are subject to the same credit pack pricing. You may disable auto top-up or change your threshold and replenishment amount at any time. ConvergeQA will send you an email notification each time an auto top-up charge is processed. For clarity, auto top-up replenishes your pre-paid credit pack balance only; it does not affect the $50 monthly overage cap, which applies separately to any reviews consumed after your monthly allotment and credit pack balance are both exhausted.
- Payment Processing: All payments are processed through Stripe. ConvergeQA never stores your credit card numbers or sensitive banking information.
- Billing Cycles: Subscription charges recur on the same day each month. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing cycle. No refund is provided for the remaining portion of the current billing period.
5. Acceptable Use Policy
You agree not to use ConvergeQA for any illegal, unethical, or harmful purposes, including but not limited to:
- Submitting illegal content, malware, or harmful code
- Submitting Protected Health Information (PHI) as defined under HIPAA
- Attempting to reverse-engineer, modify, or disable platform security or access controls
- Circumventing rate limits, quotas, or authentication mechanisms through automated means
- Using the service for mass abusive behavior, spam, or bot-driven attacks
- Reselling, redistributing, or sublicensing access to ConvergeQA without prior written consent from Tuscaloosa Primary Care LLC
- Violating the terms of service of third-party LLM providers (Anthropic Claude, OpenAI, Google Gemini, xAI Grok, Perplexity)
- Creating new accounts to circumvent the Free tier lifetime review allotment
Violations of this policy may result in immediate account suspension or termination without refund.
Note: This Section 5 constitutes the Acceptable Use Policy referenced elsewhere in these Terms.
6. AI Output Disclaimer
IMPORTANT: All output generated by ConvergeQA is artificial intelligence-generated and is NOT reviewed, verified, or endorsed by any human operator or medical/legal professional.
Use at Your Own Risk
- No Professional Advice: ConvergeQA does NOT provide medical, legal, financial, or professional advice. Never rely on AI output as a substitute for consultation with a qualified professional.
- Accuracy Not Guaranteed: AI-generated output may contain errors, inconsistencies, biases, hallucinations, or outdated information. You are solely responsible for independently verifying all output before relying on it.
- Your Responsibility: You acknowledge that you understand the limitations of AI and accept full responsibility for validating the accuracy, completeness, and fitness of all output for your intended use.
- No Warranty: ConvergeQA makes no warranty, express or implied, regarding the quality, accuracy, or suitability of AI-generated output.
- No Model Training: ConvergeQA does not use your Input or Output to train machine learning models. Third-party LLM providers may have different data retention and training policies; please review their respective privacy policies.
HIPAA & Data Privacy
CRITICAL: ConvergeQA is NOT a HIPAA-covered entity or business associate, and no Business Associate Agreement (BAA) is available. Do not submit Protected Health Information (PHI), including patient names, medical records, diagnoses, or any regulated health data. Submission of PHI constitutes a violation of these Terms and may result in immediate account termination.
Content submitted to ConvergeQA is transmitted to external LLM providers (Anthropic, OpenAI, Google, xAI, Perplexity) for processing. These providers may retain data in accordance with their own privacy policies. ConvergeQA assumes no responsibility for data breaches, unauthorized access, or misuse by third-party LLM providers.
Note: Although ConvergeQA is operated by Tuscaloosa Primary Care LLC, the ConvergeQA platform is a standalone software service with no connection to medical practice operations. No medical services, patient care, or clinical data processing is provided through ConvergeQA.
7. Intellectual Property
Your Content
- You retain all ownership rights to any content you submit to ConvergeQA (your "Input").
- You grant ConvergeQA a limited, non-exclusive, royalty-free license to process, store, and transmit your Input to third-party LLM providers and infrastructure sub-processors solely for the purpose of delivering the service.
AI-Generated Output
- To the extent permitted by applicable law, you may use all AI-generated output produced by ConvergeQA ("Output") for your personal or business purposes. Please note that under current U.S. Copyright Office guidance, purely AI-generated content may not be eligible for copyright registration. You are responsible for understanding the intellectual property implications in your jurisdiction.
- You are responsible for ensuring that your use of Output does not infringe upon the intellectual property rights of others.
ConvergeQA Platform
- ConvergeQA and Tuscaloosa Primary Care LLC retain all rights to the platform, technology, code, interface design, and branding.
- You may not copy, modify, reverse-engineer, or distribute the platform without prior written consent.
8. Confidentiality
"Confidential Information" means any non-public information disclosed by either party to the other in connection with the service, including but not limited to: Input submitted by you, account credentials, API keys, business processes, and proprietary data.
- Each party agrees to protect the other party's Confidential Information using at least the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care.
- Confidential Information may only be disclosed to employees, contractors, or agents who need to know it for the purpose of delivering or using the service and who are bound by obligations of confidentiality.
- Confidential Information does not include information that is (a) publicly available through no fault of the receiving party, (b) independently developed without reference to Confidential Information, (c) rightfully received from a third party without restriction, or (d) required to be disclosed by law, provided the disclosing party is given reasonable prior notice.
Important limitation: Content you submit to ConvergeQA is transmitted to third-party LLM providers for processing. While ConvergeQA treats your Input as Confidential Information within its own systems, ConvergeQA cannot guarantee that third-party LLM providers will treat your Input as confidential. You should not submit information that you cannot risk being processed by third-party AI providers.
9. Data & Privacy
Please refer to our Privacy Policy for a complete explanation of how we collect, use, and protect your data.
Brief Summary:
- Processing: Your Input is transmitted to external LLM providers for processing. These providers may retain data per their own policies. A current list of sub-processors is available at convergeqa.net/providers.
- Storage: ConvergeQA stores your review history based on your subscription tier (Free: 7 days; paid tiers: full retention while your account remains active, subject to the current retention policy). Data is encrypted in transit (TLS 1.2+ minimum; TLS 1.3 where supported) and at rest.
- Retention: Upon account deletion, your data will be permanently removed within 30 days, except where required by law.
- Third Parties: We do not sell your data. We share data with LLM providers and payment processors (Stripe) only as necessary for service delivery.
- Security Incidents: In the event of a security breach affecting your data, ConvergeQA will notify affected users via email within 72 hours of confirming the breach, and will provide details about the nature of the breach, the data affected, and remediation steps taken.
International Users
ConvergeQA's servers and primary data processing are located in the United States. If you are accessing ConvergeQA from outside the United States, your data will be transferred to and processed in the United States.
If you are located in the European Economic Area (EEA) or United Kingdom, data transfers are conducted pursuant to the European Commission's Standard Contractual Clauses (SCCs). A copy of our SCCs is available upon request by contacting [email protected].
If your organization requires a Data Processing Agreement (DPA) or similar addendum, contact [email protected]. Availability and terms are reviewed case by case and are not included by default in public plans.
10. Audit Reports (Paid Tiers)
Audit reports are a paid-tier feature for Student, Basic, Plus, Pro, and Enterprise plans that provide a review record with a unique Report ID. Public verification pages may show report metadata and review-record status, but do not prove that the reviewed content is true and should not disclose user-submitted document content. Reports are verifiable at convergeqa.net/verify/<report_id>.
Note on report verification access: Anyone with the report ID can access the verification endpoint. Report IDs are generated using randomized UUIDs and are not sequential or guessable. However, you should treat your report IDs as confidential if your reports contain sensitive information. Do not share report URLs publicly unless you intend for the report to be accessible.
- Not a Substitute for Professional Audit: Audit reports document ConvergeQA's AI-generated review process and findings. They are not a substitute for professional audits, compliance reviews, or certifications by licensed professionals.
- Verification: The verification endpoint confirms only that the report content matches the original hash generated by ConvergeQA. This does not constitute third-party endorsement, certification, or any guarantee of the accuracy of the report's contents.
- Limitations: Audit reports reflect AI-generated findings only and carry no legal standing without supporting professional review.
11. API Access (Pro & Enterprise)
API access is available to Pro and Enterprise tier subscribers. Additional terms apply:
- Rate Limits: Pro tier: 100 API calls per rolling 60-minute window. Enterprise tier: 500 API calls per rolling 60-minute window. Requests exceeding the rate limit will receive an HTTP 429 (Too Many Requests) response with a Retry-After header. Sustained abuse of rate limits may result in temporary suspension of API access. Current rate limits are published in our API documentation.
- API Keys: You are responsible for securing your personal API keys. Do not share your keys or expose them in public repositories, bug reports, or shared documents. Compromised keys should be rotated immediately via your account settings.
- Abuse: Automated abuse, distributed attacks, or circumvention of rate limits will result in immediate account suspension and legal action if necessary.
- Third-Party Integrations: You may use the API to build integrations with other services, provided you comply with all terms of this agreement and applicable third-party terms of service.
12. Service Availability
ConvergeQA strives to maintain high availability but does not guarantee uninterrupted service. We do not offer a formal Service Level Agreement (SLA) at this time. Planned maintenance windows will be communicated in advance via email and our status page.
ConvergeQA's service depends on the availability of third-party LLM providers. Outages or degraded performance from these providers may affect ConvergeQA's functionality. We are not liable for downtime caused by third-party service interruptions.
13. Limitation of Liability
Disclaimer of Warranties
ConvergeQA is provided on an "AS IS" and "AS AVAILABLE" basis without any express or implied warranties. We disclaim all warranties, including but not limited to:
- Merchantability, fitness for a particular purpose, or non-infringement
- Accuracy, completeness, timeliness, or reliability of AI-generated output
- Continuous, uninterrupted, or error-free service
- Third-party LLM provider availability, accuracy, or compliance with their service terms
Limitation of Damages
To the maximum extent permitted by law, ConvergeQA's total aggregate liability to you for any and all claims arising from your use of the service is limited to the greater of (a) the total fees you paid to ConvergeQA in the 12 months preceding the claim, or (b) fifty U.S. dollars ($50.00).
In no event shall ConvergeQA, Tuscaloosa Primary Care LLC, or their officers, directors, employees, or agents be liable for:
- Indirect, incidental, consequential, special, or punitive damages
- Loss of profits, revenue, data, or business opportunity
- Any third-party claims related to your use of the service or AI-generated output
- Damages arising from unauthorized access to or alteration of your data by third-party LLM providers
Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you to the extent prohibited by applicable law.
14. Indemnification
You agree to indemnify, defend, and hold harmless ConvergeQA, Tuscaloosa Primary Care LLC, and their officers, directors, employees, and agents from any third-party claims, damages, losses, liabilities, and costs (including reasonable attorneys' fees) arising from or related to:
- Your use of the service or violation of these terms
- Your Input or your use of AI-generated Output
- Your infringement of any third-party intellectual property rights
- Your violation of any applicable law or regulation
- Any disputes with third-party LLM providers or payment processors arising from your use of the service
15. Dispute Resolution
Informal Resolution
Before filing any formal claim, you agree to first contact ConvergeQA at [email protected] and attempt to resolve the dispute informally for a period of at least 30 days.
Binding Arbitration
If the dispute is not resolved informally, you agree that all disputes arising from these Terms or your use of ConvergeQA shall be resolved through binding arbitration administered under the Consumer Arbitration Rules of the American Arbitration Association (AAA), conducted in Tuscaloosa County, Alabama. The arbitrator's decision shall be final and binding. Arbitration fees shall be allocated in accordance with the AAA Consumer Arbitration Rules; where those rules require ConvergeQA to bear the costs of arbitration, ConvergeQA will do so.
Class Action Waiver
You agree to resolve disputes on an individual basis only. You waive any right to bring claims as a plaintiff or class member in any class action, collective action, or representative proceeding.
Exceptions
Either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm pending the outcome of arbitration. Additionally, claims within the jurisdiction of a small claims court may be brought in such court in lieu of arbitration.
16. Termination
Termination by You
You may terminate your account at any time by requesting deletion through your account settings or by contacting us at [email protected].
Termination by ConvergeQA
ConvergeQA may suspend or terminate your account immediately, without notice, if you:
- Violate these Terms of Service or the Acceptable Use Policy (Section 5)
- Engage in illegal activity or harass other users
- Default on payment obligations
- Engage in activity that places disproportionate load on platform infrastructure or constitutes abuse of service resources, as determined in ConvergeQA's reasonable discretion
Effects of Termination
- Upon termination, your account and all associated data will be deactivated and deleted within 30 days.
- No refunds will be issued for partial months of service or unused credits.
- Your right to use the service ends immediately upon termination.
- Provisions regarding limitation of liability (Section 13), indemnification (Section 14), intellectual property (Section 7), confidentiality (Section 8), dispute resolution (Section 15), and this Section 16 survive termination.
17. Digital Millennium Copyright Act (DMCA)
ConvergeQA respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA).
Reporting Infringement
If you believe that content on ConvergeQA infringes your copyright, you may submit a written notice of infringement to our designated DMCA agent:

- Identification of the copyrighted work allegedly infringed
- Identification of the infringing content and its location on the platform
- A statement that you have a good-faith belief the use is not authorized by the copyright owner, its agent, or the law
- A statement under penalty of perjury that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf
- Your physical or electronic signature
18. Assignment
You may not assign or transfer your rights or obligations under these Terms without the prior written consent of ConvergeQA. ConvergeQA may assign its rights and obligations under these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets, provided the assignee agrees to be bound by these Terms. Any attempted assignment in violation of this section is void.
19. Notices
ConvergeQA may deliver notices to you via email to the address associated with your account, through in-app notifications, or by posting on the ConvergeQA website. You are responsible for keeping your email address current. Notices from you to ConvergeQA must be sent to [email protected] and are deemed received when actually received by ConvergeQA.
20. Governing Law & Jurisdiction
These Terms of Service are governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of law principles. Subject to Section 15 (Dispute Resolution), you irrevocably consent to the exclusive jurisdiction and venue of the state and federal courts located in Tuscaloosa County, Alabama for any disputes not subject to arbitration.
21. Severability
If any provision of these terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed. The remaining provisions will continue in full force and effect to the maximum extent permitted by law.
22. Entire Agreement
These Terms of Service (including the Acceptable Use Policy set forth in Section 5) and our Privacy Policy constitute the entire agreement between you and ConvergeQA (operated by Tuscaloosa Primary Care LLC) regarding your use of the service and supersede all prior agreements and understandings, whether written or oral.
23. Waiver
ConvergeQA's failure to enforce any provision of these terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorized representative of ConvergeQA.
24. Force Majeure
ConvergeQA shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, power failures, or internet or telecommunications failures.
Outages or disruptions by third-party LLM providers are addressed in Section 12 (Service Availability) and are not treated as force majeure events for the purpose of this clause.
